You can use windows media encoder to do that, changing to wmv.
For converting files to MPEG, you can use vcdgear. www.vcdgear.com
it does not require any installation and also helps you make a vcd.
It's the best I know.

Use VCD Cutter
Search in Google & find VCD Cutter. This is the best tool.
